Content of application	This administrative licensing applies to the registration of incorporation of a foreign-invested partnership company.

Acceptance requirements

A foreign-invested partnership company may be incorporated when all of the following conditions are met:

1. The company shall be incorporated within the territory of China by two or more foreign companies or individuals, or by at least one foreign company or individual jointly with Chinese natural persons, legal persons or other organizations. A partner who is a natural person shall have full capacity for civil conduct;

2 .There is a written partnership agreement;

3. The capital subscribed for or actually contributed by partners is available;

4. There is a name of the partnership company as well as production and business premises;

5. A limited partnership shall be formed by not less than two but not more than 50 partners, unless otherwise provided for by law. There shall be at least one general partner in a limited partnership; and

6. A professional entity that provides paid services to its clients with specialized knowledge and skills may form a specialized general partnership.

7. A letter of confirmation of all partners for the subscribed capital
contribution or actually paid capital of each partner should be provided;
for an investment made in kind, or in the form of intellectual property,
land use rights or other property rights, if it is evaluated by all partners
upon consultation, a letter of confirmation on evaluating the investment
upon consultation signed by all partners should be submitted to the
registration agency; if it is evaluated by a legal evaluation agency
entrusted by all partners, an evaluation certificate issued by the legal
evaluation agency shall be submitted to the registration agency.
